Acceptance and operator
By accessing the Kernvale website or an approved Kernvale product, you agree to these Terms of Use. If you do not agree, do not use the products.
Kernvale Software is a software brand operated by Website Marketing Pros LLC. “Kernvale,” “we,” “us,” and “our” refer to Website Marketing Pros LLC when it operates Kernvale.
Eligibility and account access
You must be at least 18 years old, located in the United States, and approved for the current owner-only Private Beta or development access. Public registration is not offered.
Access depends on a supported ChatGPT account and platform-managed authentication. You are responsible for maintaining the security of your account and device, for activities performed through your access, and for notifying us promptly if you suspect unauthorized use. Do not share access or attempt to bypass platform restrictions.
User-entered information
You retain ownership of information you enter into a product. You give Kernvale a limited permission to host, store, process, display, and transmit that information only as reasonably needed to provide, support, secure, troubleshoot, and comply with law for the products.
You are responsible for the accuracy, legality, and appropriateness of information you enter. The current products do not offer file uploads, public publishing, social sharing, or collaboration. Do not enter information you are not authorized to use.
Product-specific terms
Money Ledger
Money Ledger is an organizational tool and is not financial, accounting, legal, investment, or tax advice. You are responsible for reviewing manually entered information and consulting qualified professionals when needed.
Money Ledger does not connect to banks, import live bank transactions, store bank-login credentials, process payments, or file taxes. Calculations depend on the information you enter and may contain errors.
SearchLedger
SearchLedger analysis and recommendations do not guarantee rankings, traffic, leads, customers, or revenue. You must review recommendations and be authorized to analyze submitted URLs.
You may submit only public HTTP or HTTPS webpages that you own or are authorized to analyze. SearchLedger is not permission to scrape, disrupt, probe, or access another system contrary to its rules or the law.
Ship Ledger
Ship Ledger does not guarantee productivity, focus, completion, or business results. You remain responsible for reviewing tasks, dates, priorities, and actions.
Prohibited uses
You may not use the website or products to break the law, infringe another person’s rights, submit content you lack permission to use, harm or harass others, distribute malware, interfere with service operation, probe or evade access controls, access another user’s records, overload retrieval features, reverse engineer protected portions of the service except where law permits, or misrepresent product output as a guarantee or professional advice.
Private Beta availability and changes
Ship Ledger and Money Ledger are current Private Betas. SearchLedger and Community Software are in development. Portfolio Command is a concept. Features, interfaces, storage behavior, and availability may change. We may correct, suspend, limit, or discontinue a product or access at any time.
The products are currently free. These terms do not establish a subscription, trial conversion, automatic renewal, payment obligation, cancellation process, or refund right. Terms will be reassessed before any paid offering.
We may suspend or terminate access when reasonably necessary to protect the service, address misuse or security issues, comply with law, or end a Private Beta. You may stop using a product and request deletion as described on the Data Deletion page.
Intellectual property and third parties
Kernvale and its licensors retain rights in the products, website design, software, product names, logos, documentation, and other materials we provide, excluding user-entered information. These terms give you a limited, revocable, nontransferable right to use the approved products for their intended purpose.
The website and products rely on third-party services including Cloudflare, Cloudflare Turnstile, OpenAI and ChatGPT, Resend, and Google Fonts. Third-party links and services have their own terms and privacy practices. Kernvale is not responsible for third-party sites it does not control.
Warranty disclaimer and limitation of liability
To the fullest extent permitted by law, the website and current Private Beta and development products are provided “as is” and “as available.” We do not promise uninterrupted availability, error-free operation, preservation of every record, or that product output will meet every need.
To the fullest extent permitted by law, Website Marketing Pros LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data arising from use of the website or products.
To the fullest extent permitted by law, total liability for claims arising from the current free products will not exceed the greater of the amount you paid Kernvale for the affected product during the 12 months before the claim or US $100. Some jurisdictions do not allow certain exclusions, so these limits apply only to the extent permitted.
Governing law and venue
Ohio law governs these terms without regard to conflict-of-law rules. Any dispute that is not resolved informally must be brought exclusively in the state or federal courts serving Cuyahoga County, Ohio, and each party consents to those courts. These terms do not require arbitration.
If a provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver.
Changes to these terms
We may update these terms as products or law change. The page will show the effective date. Continued use after updated terms take effect means you accept the revised terms. Material changes may also be communicated through the product or the contact method associated with access when practical.
